Registration of business entities

Branches Office

A branch is a separate and legally dependent organizational unit of the founder, which permanently performs in the Republic of Serbia the activities for which the founder was registered in the domicile country. A branch cannot have a broader business capacity then its founder and must operate in line with Serbian regulations, with a resident status.

For the registration following enclosures need to be submitted:

1. Registration application form (Download)
2. Founding Act of the branch office
3. Excerpt from the original Register with the certified translation by the court appointed interpreter/translator
4. Proof of bank accounts in use for the company’s business transactions if not cited in the Decision act of Registration
5. Decision on the appointment of the representative unless already appointed by the Founding Act of the branch office
6. The certified signature of the branch office representative
7. Certified affidavit stating that the company is assuming all the obligations deriving from the branch office business dealings along with the certified translation by the court appointed translator/interpreter.
8. Receipt of payment for the registration fee credited to the account of the Business Register Agency

Representative office

Representative branch office is a separate, legally dependent organizational unit of the founder effectuating preliminary and preparatory operations in reference to the conclusion of the contract. Representative branch office does have the status of the legal subject

1. Registration application form (Download)
2. Founding Act of the Representative office
3. Excerpt from the original Register with the certified translation by the court appointed interpreter/translator
4. Proof of bank accounts in use for the company’s business transactions if not cited in the Decision act of Registration
5. The certified signature of the branch office representative
6. Certified affidavit stating that the company is assuming all the obligations deriving from the branch office business dealings along with the certified translation by the court appointed translator/interpreter.
7. Receipt of payment for the registration fee credited to the account of the Business Register Agency

A representative office is usually established to survey the commercial, financial, banking, and insurance segments of the market, as well as to perform the preliminary and preparatory operations to the execution of contracts, and to represent the foreign entity engaged in such transactions.
